Agreement to Client terms

Throughout Suplery Inc. Client Terms of Service ("Client terms"), the terms“Company”, “Suplery”, “we”, “our”, “us” refers to Suplery Inc. incorporated in State of Delaware. The terms “Customer”, “you”, “your” refers to the person or company, organization, or entity agreeing to Client terms. These Client terms create a legally binding contract between you and Suplery and set forth the conditions under which you can buy products and use the inventory management system via a Client account. These Client terms are ancillary to and must be considered in conjunction with the Suplery Inc. Terms of Service ("General terms"). In case of any discrepancy or inconsistency between these Client terms and the General terms, the provisions of the Client terms shall take precedence.
These Client terms include and reference multiple Suplery policies and rules. These policies and rules are hereby integrated into these Client terms and should be considered as part of them.
Any capitalized and/or bold terms that are used in these Client terms, but are undefined, will be assumed to have the meanings given to them in the General terms. In these Client terms, the phrase "access to the Platform" or similar language is to be understood as "access to the Platform on behalf of a Client."
By accessing or using the Platform, you confirm that you have read, understood, and agreed to be legally bound by these Client terms on behalf of yourself and any company, organization, or entity you represent. IF YOU DO NOT AGREE TO THESE CLIENT TERMS OR GENERAL TERMS IN THEIR ENTIRETY, YOU ARE HEREBY EXPRESSLY FORBIDDEN FROM ACCESSING OR USING THE PLATFORM, AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Modification of Client terms
We reserve the right, in our sole discretion, to make changes or modifications to these Client terms at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of the Client terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Client terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Client terms by your continued use of the Platform after the date of such revised Client terms. IF THE MODIFIED CLIENT TERMS ARE NOT ACCEPTABLE TO YOU, YOU MUST DISCONTINUE USING THE PLATFORM IMMEDIATELY.
Your right to use Platform as a Client
You are granted the right to buy and use the inventory management solution on the Platform, provided that you satisfy all of the following conditions:
Type of business: You are either a beauty service provider (including but not limited to beauty salons, hair services, nail studios, spas, cosmetology centers, lash studios, aromatherapy clinics, aesthetic clinics, and similar), or an offline beauty supply shop maintaining a physical location.
Legal compliance: You possess the legal right to operate a beauty business in the United States and have obtained all necessary licenses, permits, certificates, etc. required by applicable laws and regulations.
Active account: You have an activated Client account on the Platform.
Platform rules: You adhere to all policies, rules, and terms as stipulated by Suplery.
Failure to satisfy any of these requirements may result in immediate suspension of your purchasing and/or inventory management activities on the Platform. You are obligated to notify Suplery of any such non-compliance. You hereby accept full responsibility for any violation of these requirements and agree to compensate for any resulting losses incurred by either Suplery or any third-party user of the Platform.
Suplery product catalog
The Platform encompasses an integrated product catalog - a systematically arranged listing of products available for purchase and usage within the inventory management solution on the Platform. As a Client, you can enhance this catalog by proposing to add products, subject to our final approval. Please be aware that the exclusive right to accept or reject any proposed product addition lies solely with Suplery.
You are strictly forbidden from any attempt at copying, storing, or employing any other method that violates the copyright of the Suplery product catalog or its constituent parts. Any such infringement is considered a serious violation of Client terms and intellectual property rights.
In addition, you are not authorized to alter or modify any product information displayed in the catalog. If you detect any discrepancies, inaccuracies, or issues pertaining to the product listing or information within the catalog, it is your responsibility to promptly inform Suplery. We highly appreciate your cooperation in preserving the accuracy and integrity of our product catalog.
Purchasing and reselling
When placing an Order through Suplery, you agree to the following conditions:
No circumvention: You affirm and consent to conduct all transactions with Suppliers initially introduced to you through the Platform exclusively via Platform. You agree not to manipulate or sidestep our process or the Platform by executing transactions with these Suppliers outside of the Platform. Non-compliance with this provision may lead to a temporary suspension or permanent termination of your Client account and your purchasing privileges on the Platform.
Platform messenger: Platform's integrated messenger service enables you to communicate directly with Suppliers. You agree to utilize this feature strictly for legitimate business interactions, such as product inquiries, order status updates, or resolution of business-related issues. Misuse of the Platform messenger for harassment or other inappropriate purposes is strictly prohibited.
Resale permission: You are granted the right to resell products purchased via the Platform, except those marked as "professional." PRODUCTS LABELED "PROFESSIONAL" ARE INTENDED SOLELY FOR SERVICE PROVISION OR INTERNAL OPERATIONAL USE.
Prohibition on fulfillment using unapproved third-party websites: You agree not to fulfill orders through any third-party websites that have not been explicitly approved by Suplery. An example of a strictly forbidden third-party website is Amazon.
Payment procedures and obligations
As a Client, you are required to furnish at least one valid form of payment on the Platform. Prior to placing an order, it is incumbent upon you to ensure that you possess sufficient funds via the provided payment method. Should the primary payment method fail, you grant us authorization to automatically utilize alternative payment methods linked to your account.
By agreeing to the Client terms, you acknowledge that in the event of a delay or failure in making payment for any products or services procured through the Platform (including but not limited to Paid services and Third-party services), Suplery may exercise one or more of the following actions at its discretion and without prior notice to you:
- Demand immediate settlement of all outstanding invoices.
- Suspend or cancel your pending orders.
- Offset any monies that may be owed to you.
- Impose late payment penalties at the maximum rate permissible by law.
- Temporarily suspend or permanently terminate your Client account.
Suplery reserves the right to delegate your account to a collection agency or to pursue any other lawful or equitable remedies to recover any outstanding debt.
By placing an order through the Platform, you agree to provide a valid and physical business address for the delivery of ordered products. This address cannot be a personal address or a mailbox.
Please note that Suplery does not support drop shipping to your customers. Furthermore, the forwarding of purchased products to international destinations, whether via mail forwarding services or otherwise, is strictly prohibited.
Shipping charges are waived for orders above a specified amount. This threshold may vary among different Suppliers. If your order falls below this amount, a fixed shipping and handling fee specific to the Supplier will apply.
Please be aware that delivery timelines vary based on each Supplier's processing times. You can monitor the progress of your shipment via the Platform. Upon shipment of your order, a tracking number will be provided for your reference.
Order cancellations, returns, and refunds
Inventory management system
The Platform encompasses features facilitating inventory record-keeping. In utilizing these features, you agree to use the Platform "AS IS" and to accept any future modifications or enhancements. Suplery makes no warranties or guarantees regarding the efficacy or effectiveness of your use of the Platform. You agree to use the Platform at your own risk and hereby waive any claims against Suplery relating to your business outcomes.
While you are permitted to maintain records of your purchases and suppliers outside the Platform, you acknowledge and agree that these transactions are independent of Suplery, and as such, Suplery bears no obligations pertaining to them.
You agree to indemnify, defend, and hold harmless Suplery, its parent company, subsidiaries, affiliates, partners, successors, assigns, as well as their respective owners, members, officers, directors, employees, agents, representatives, contractors, subcontractors, licensors, service providers, and third-party content providers from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorney and accounting fees) brought forth by any third party related to or stemming from your breach of these Client terms, the General terms, and/or any applicable laws or rights of a third party, or from your usage or participation in the Platform.
In the event of a violation of these Client terms, Suplery reserves the right, at its sole discretion, to temporarily suspend or permanently terminate your Client account, these Client terms, and/or the General terms without providing prior notice. Furthermore, Suplery may revoke your access to and use of the Platform at any time, with or without cause. If Suplery chooses to terminate these Client terms, your Client account, and/or the General terms due to a breach on your part, you shall remain liable for all outstanding amounts due hereunder.
If you wish to terminate your association with Suplery, you may do so at any time by contacting us directly or by following the procedures indicated in your Client account. Suplery will proceed with the closure of your Client account only after settling all outstanding monies due and owing.
